Commercial Due-Diligence Handoff Map

One question may need four owners
Route each question to the party with the right authority and inputs. Use a scope-based handoff map that sends each question to the person or organization able to answer it.
Start with the question, not the profession
“Can we operate a food-production business here?” is several questions. The municipality may address land use and permits. An environmental or building specialist may assess physical systems. The lender may state funding conditions. Counsel may interpret contract obligations and consequences. The handoff map separates these outputs before anyone is asked to answer the whole question.
Minimum packet for each recipient
Send the exact question, property/use facts, controlling document excerpt, decision deadline, prior responses and the output needed. Remove unrelated personal or financial material. State what the recipient is not being asked to decide. A focused packet reduces back-and-forth and prevents one adviser’s assumptions from silently becoming another adviser’s facts.
Bring four answers back together
Create a return table with columns for recipient, response date, scope, assumptions, conclusion, conditions and next owner. Compare assumptions first. A municipal response based on retail use cannot be combined with an engineer’s report based on food production. If two responses use different facts, reopen the handoff rather than writing a blended conclusion.
Overlap does not mean duplicate authority
A lawyer and lender may both comment on an assignment, but they control different decisions. A municipality and consultant may both discuss ventilation, but one addresses public process while the other addresses technical scope. Record each consequence separately: permission, technical feasibility, financing acceptance, contractual risk or closing timing.
Close the loop
The coordinator closes a handoff only after the response is saved, its scope is clear, conditions are assigned and the affected decision record is updated. A delivered report with unanswered assumptions remains open.
Question-to-owner map
A handoff fails when a broad issue is forwarded without the document or decision context. “Can we use the space?” may contain a lease question, a municipal land-use question, a building issue and an operational licensing question. Split it before assigning owners.
The sender remains responsible for bringing the answers back together. A municipal response does not interpret the lease; a lawyer does not approve financing; a lender condition does not prove landlord consent. The map records each output and its limitation.

Example: food-production premises
A buyer wants to operate a food-production use. Counsel reviews permitted-use wording, municipal staff address zoning/application questions, a technical specialist evaluates power and ventilation, and the lender reviews financing conditions. The decision memo then compares all four outputs instead of asking one participant for a universal yes.
Confidentiality and overlapping scopes
Sometimes two professionals need the same source but answer different questions. Send separate instructions and avoid forwarding confidential material beyond the required scope. If the issue has no clear owner, define the decision and evidence gap more narrowly before seeking an answer.

How the map assigns authority
The map assigns questions by institutional or professional scope. It does not certify that a specific adviser has accepted an engagement.

The row prevents the municipal response from becoming a whole-file conclusion. When the response returns, compare its assumptions with the facts supplied. If equipment or hours changed, reopen the question instead of carrying the earlier answer forward.
Late and conflicting professional responses
If a response will miss the decision deadline, record the expected date and the choice that cannot wait. If two professionals use different assumptions, return a short reconciliation question showing the conflict. The coordinator should not choose the preferred conclusion. Close the loop only when the assumptions and decision consequences are explicit.
Record the final assumption set in the decision memo so later readers know which scoped answers were combined.
Recipient acknowledgement
Ask each recipient to confirm the facts and document version used. A response based on the wrong premises or superseded draft returns to pending even if the professional analysis is otherwise complete.
When two responses conflict, compare scope, assumptions, effective date and document version before asking a focused reconciliation question. The coordinator records the divergence and its decision consequence; the relevant professionals resolve conclusions within their own scopes.
